Terms of Service and Acceptable Use Policy

Welcome to Ice Phi LLC (“Company,” “we,” “us,” or “our”). These Terms of Service and Acceptable Use Policy (“Terms”) govern your access to and use of our prompt injection detection API, website, and related security services (collectively, the “Services”).

By creating an account, subscribing to a plan, or using our API, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.


1. The Services & API License

Subject to these Terms, Ice Phi LLC grants you a non-exclusive, non-transferable, revocable right to access and use our prompt injection detection API solely for your internal business purposes or to protect your own customer-facing Large Language Model (LLM) applications.

2. Accounts, Security, and API Keys

  • Registration: You must provide accurate and complete information when registering for an account.
  • API Keys: You will be issued unique API keys to access the Services. You are entirely responsible for maintaining the confidentiality of your API keys and account credentials. Any activity occurring under your account or using your API keys is your responsibility.
  • Unauthorized Use: You agree to notify us immediately at [email protected] of any unauthorized use of your API keys or account.

3. Subscription Plans, Fees, and Free Tier

  • The Free Tier: We offer a free tier providing up to 200 API requests per calendar month ("Free Tier"). Ice Phi LLC reserves the right to modify, suspend, or terminate the Free Tier, or change its limits, at any time without prior notice.
  • Rate Limits & Overages: If your usage exceeds your plan’s monthly limit or the 200-request Free Tier limit, the API will automatically return an Access Denied error message (HTTP 429 Too Many Requests) and block further requests until the next billing cycle or until you manually upgrade your subscription.
  • Paid Subscriptions: Monthly subscriptions grant you a higher volume of API requests as specified in your chosen plan. Fees are billed in advance on a recurring monthly basis and are non-refundable.
  • Taxes: All fees are exclusive of applicable taxes, which you are responsible for paying.

4. Acceptable Use Policy (AUP)

You agree not to use the Services to, or allow any third party to:

  • Abuse the Free Tier: Create multiple accounts, use automated scripts to generate dummy accounts, or employ any other method to bypass the 200-request-per-month limit of the Free Tier.
  • Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to extract the source code, weights, underlying algorithms, or machine learning models of our API.
  • Resell or Sublease: Resell, rent, lease, or redistribute the API directly as a standalone security product. (Integrating our API to protect your own application which you license to others is permitted and encouraged).
  • System Interference: Interfere with or disrupt the integrity or performance of the API, circumvent our architecture, or attempt to gain unauthorized access to our servers.
  • Benchmark & Competitive Testing: Use the API to build a competitive prompt injection detection product, or publish benchmarking/performance tests of our API without our prior written consent.
  • Illegal/Harmful Activity: Submit text strings to the API that contain legally prohibited material (e.g., child sexual abuse material, malware payloads intended to compromise our infrastructure, or strictly classified data).

Note on Threat Emulation: Because this API is a security tool designed to analyze adversarial text, you are permitted to submit malicious prompts, jailbreaks, and injection attacks for the sole purpose of detection analysis. However, you may not use the API to assist in generating, refining, or optimizing malicious exploits to attack third-party systems.

5. Data Privacy, Security, and No-Log Commitment

  • Customer Content: To provide the Service, you transmit text strings ("Content") to our API for analysis.
  • Our No-Log Policy: Ice Phi LLC operates under a strict data-privacy model. We do not store, log, or retain the text strings transmitted to our API. Content is processed entirely in volatile memory solely for the immediate time required to generate and return a classification payload, and is erased immediately thereafter.
  • Model Training: We do not use your Content or submitted text strings to train, fine-tune, or improve our machine learning models.
  • Data Protection: Both parties agree to comply with applicable data protection laws. You represent that you have the necessary rights, licenses, and consents to submit the Content to our API.

6. Intellectual Property

  • Our Property: Ice Phi LLC retains all rights, title, and interest in and to the API, including all algorithms, machine learning models, software, documentation, and intellectual property rights therein.
  • Your Property: You retain all rights to the Content you submit to the API.

7. Term and Termination

  • Termination by You: You may cancel your subscription at any time via your account dashboard. Cancellation will take effect at the end of the current billing cycle.
  • Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice, if you violate this AUP, fail to pay fees, or if your usage poses an active operational or security risk to our infrastructure.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BECAUSE PROMPT INJECTION AND JAILBREAK TECHNIQUES EVOLVE RAPIDLY, ICE PHI LLC DOES NOT WARRANT THAT THE API WILL BE 100% ACCURATE, UNINTERRUPTED, ERROR-FREE, OR CAPABLE OF DETECTING EVERY POSSIBLE PROMPT INJECTION OR ADVERSARIAL ATTACK. SECURITY IS A MULTI-LAYERED EFFORT, AND YOU ASSUME ALL RISK FOR DEPENDING SOLELY ON THIS API TO SECURE YOUR APPLICATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICE PHI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $50 IF YOU ARE EXCLUSIVELY ON THE FREE TIER).

10. Indemnification

You agree to indemnify, defend, and hold harmless Ice Phi LLC and its officers, directors, and employees from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of the AUP, or your violation of any third-party rights.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Escambia County, Florida.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or by posting a prominent notice in your user dashboard. Your continued use of the API after the effective date of the updated Terms constitutes your acceptance of the changes.
